Terms & Conditions (Website & Sales)

1) Acceptance of These Terms

By accessing ookii.ph, creating an account, or purchasing any product, you agree to be bound by these Terms & Conditions, our Privacy Policy, Returns & Remedies Policy, and any supplemental policies we post. If you do not agree, please do not use our services. Transactions and electronic agreements on this site are legally recognized under the Electronic Commerce Act (RA 8792).

2) Who We Are (Current Model)

OoKii is a reseller: all items listed for sale today are owned and sold directly by OoKii. We are not yet an open marketplace for third-party sellers. (When we open the marketplace, see Section 18 for the “Marketplace Switch” terms that will apply.) Compliance note: disclosures required by the Internet Transactions Act (RA 11967) and its IRR are provided in these Terms and our site footer.

We issue official receipts/invoices in accordance with BIR rules.

4) Privacy & Data Protection

We collect and process personal information pursuant to the Data Privacy Act of 2012 (RA 10173) and its IRR. Our Privacy Policy explains what we collect, legal bases, retention, security measures, and your rights (access, correction, deletion, objection). We maintain a consumer redress channel and keep transaction records as required by the ITA IRR.

5) Eligibility; Accounts

  • You must be at least 18 years old to purchase.
  • Provide accurate, current information and keep your login secure.
  • You are responsible for all activity under your account.

6) Products, Brands & Intellectual Property

  • Pre-Owned / Resale: Unless stated otherwise, products are pre-owned and may show signs of normal use.
  • Brand Relationship: OoKii is not affiliated with, endorsed by, or an official partner of any brand, designer, or manufacturer whose items appear on the site. All trademarks, brand names, and logos belong to their respective owners.
  • Nominative Use: We use brand names only to identify the genuine items for sale; we avoid suggesting sponsorship or endorsement and use only what is necessary (you should do the same in any reviews or uploads).
  • Photos & Content: Product photos are of the item itself unless stated otherwise. Avoid relying on third-party marketing images to reduce copyright risk; we follow IPOPHL fair-use guidance.

7) Pricing, Availability, Taxes

Prices, availability, and specifications may change without notice. The price at checkout is final unless there is a manifest error. Taxes, duties, and import charges (if applicable) are disclosed at checkout.

8) Orders, Payment & Electronic Signatures

Placing an order is an offer to purchase; we may accept by sending an order confirmation. We may cancel and refund orders affected by stock errors, suspected fraud, or pricing mistakes. We accept electronic signatures/consents; electronic documents and signatures are enforceable under RA 8792.

9) Shipping, Delivery, and Risk of Loss

We ship to the address you provide. Risk of loss passes upon delivery to the carrier unless consumer law provides otherwise for defective/unsafe/counterfeit/misdescribed products (see Section 11). Inspect packaging on receipt and document any damage.

10) Authenticity & Product Descriptions

We take reasonable steps to assess authenticity (e.g., documentation/serial checks and/or expert review where appropriate). If any item you purchase from us is proven counterfeit or materially misdescribed, you are entitled to a full refund or replacement under our Returns & Remedies Policy. This commitment does not imply any brand affiliation. (Resale of genuine goods is generally lawful; infringement targets non-genuine goods and confusing use of marks.)

11) Returns & Remedies (Your Statutory Rights Protected)

We honor consumer remedies under the Consumer Act (RA 7394) and DTI guidance; “No Return, No Exchange” policies are prohibited for defective goods. We do not exclude your statutory rights through these Terms.

You may request repair, replacement, or refund if the product is:

  • Defective or unsafe,
  • Counterfeit, or
  • Not as described/materially misrepresented.

Process & Timelines

  • File a request within 7 days of delivery (or within the manufacturer’s reasonable period if longer), attaching photos/video and the packaging.
  • We will acknowledge within 2 business days, and resolve (approve, request more info, or decline with reasons) within 7 business days of complete submission.
  • Refunds are issued to the original payment method or via store credit at your option; we will not impose store credit only where a refund is warranted by law.
  • Return shipping: Covered by OoKii when the item is defective/unsafe/counterfeit/not as described; otherwise borne by buyer if permitted by law.
  • Change-of-mind returns are not accepted (allowed exclusion).

12) Product Condition; “As-Is” Clarification

Pre-owned items may have cosmetic wear disclosed in listings. Except as to statutory rights and our authenticity commitment, items are sold “as is” regarding cosmetic condition. This does not affect your lawful remedies under PH consumer protection laws.

13) Warranties, Disclaimers & Limitation of Liability

  • No Manufacturer Warranty: Original brands typically do not provide warranty or service for items purchased from OoKii unless expressly stated. Direct all concerns to us per Section 11.
  • Service Interruptions: The website is provided on an “as available” basis.
  • Liability Cap: To the extent allowed by PH law, OoKii’s total liability for any claim relating to a purchase is capped at the price paid for that item; we are not liable for indirect, incidental, or consequential damages. This cap does not apply where prohibited by law (e.g., fraud, willful misconduct, or liability that cannot be limited under the Consumer Act/ITA).

14) User Conduct & Prohibited Uses

  • Use the site only for lawful purposes.
  • Do not misrepresent identity or payment details.
  • Do not upload infringing or deceptive content.
  • Do not interfere with site security.
  • Do not scrape or copy listings without consent.

15) Compliance Statement (Laws & Standards)

  • Internet Transactions Act (RA 11967) and DTI IRR (identity disclosures, fair dealing, redress, record-keeping, codes of conduct).
  • Consumer Act (RA 7394) and DTI policy (repair/replacement/refund; ban on “No Return, No Exchange”).
  • Data Privacy Act (RA 10173) (lawful processing, security, data subject rights).
  • Electronic Commerce Act (RA 8792) (validity of electronic documents and signatures).
  • Applicable BIR rules on official receipts/invoices.

16) Intellectual Property of OoKii

Site content (excluding third-party marks and product photos of branded items) is owned by OoKii and protected by IP laws. You may not reproduce or exploit content without permission.

17) Governing Law, Venue & Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Venue: Proper courts of Pasig City, unless consumer protection laws require otherwise. We encourage amicable settlement first; you may also seek assistance from DTI or relevant agencies under the ITA IRR.

18) Marketplace Switch (Future Feature)

If/when Ookii opens the platform to third-party sellers (“Marketplace Mode”), the following will automatically apply on 15 days’ notice via site update/email:

  • Role: Ookii acts as an intermediary between buyers and third-party sellers for listings not owned by OoKii.
  • Seller Responsibility: Each seller is responsible for legality, authenticity, safety, and description accuracy of their listings; sellers must comply with ITA IRR and Consumer Act remedies, and accept takedown for counterfeit/misuse.
  • IP & Takedown: We will provide a clear IP complaint/takedown channel; upon substantiated complaints (e.g., counterfeit), we may remove listings, hold payouts, and cooperate with authorities/rights holders.
  • Disputes: For marketplace orders, primary responsibility lies with the seller, but Ookii will provide redress mechanisms mandated by the ITA IRR.

(Until Marketplace Mode launches, all sales remain direct by OoKii.)

19) Changes to These Terms

We may update these Terms to reflect legal or operational changes. Updates take effect upon posting (or later effective date stated). Continued use after changes constitutes acceptance.
